Proposal 1 – Review of Constitution Background Information The current constitution follows the model rules as per 1996 with an amendment to add rule 48 (Non distribution of profits). The current constitution is potentially missing amendments which are not documented, and incomplete. 2009 Legislation states that if model rules have been previously adopted, they remain in place unless changed by the committee. No adoption of new model rules has taken place, therefore pre-existing model rules are still adopted. Model rules call for AGM every year, and association members must vote for committee members at the AGM. Association members must be over 18, current model bylaws restrict the committee to 3 ordinary members. Proposal The proposal is to adopt the new model bylaws under the associations incorporation act 2009, with changes, currently as follows: 1) Subscription fee: 1a) Engage with proposed new members to determine a suitable entrance fee, and an annual subscription fee. 1b) Engage with proposed new members to determine at what age in which entrance fee and annual subscription fee is not to be charged, e.g. over 65? 2) Reinforce 2017 amendment based on the special resolution that to be eligible to be an office bearer (president, vice president, secretary, treasurer) you must have been a member of the committee for at least 2 years and comply with the requirements required by the office bearers, i.e. attendance at meetings and social events, and representation of the committee in the community and in public. The reason for this rule is to ensure that the objectives of the charitable association are fulfilled and to demonstrate the commitment of committee members, and to reinforce their skills, capabilities and experience to fulfill the role of office bearer. 3) Increase the number of ordinary members from 3 (as currently stated in the constitution), to 7. I.e. the creation of 4 new positions on the committee. Introduce an exemption for this current financial year that 4 new members with less than 2 years of membership time can be elected to sit on the committee as an ordinary member for a term of 2 years. 4) Add additional criteria to qualify as an office bearer, i.e. be of good fame and character. 5) Modify delegation to sub committees to specify rules of operation, in-line with the expectation of the executive committee, i.e. run monthly meetings, minimum expectation of meetings attended etc. 6) Modify the constitution in accordance with the above. Resolution: Passed Proposal 2 – Membership Drive Background Information Under the current model rules, members must complete the form set out in Appendix 1. Therefore we need members to complete this form to start the new record of members. Proposal The proposal is to have a membership drive to collect membership details from association members, including past, present and new members. Paper membership applications must be submitted to the committee in accordance with the constitution. The second part of the proposal is to update the constitution to allow for electronic membership application submissions, and the establishment of a digital membership register. Resolution: Passed Proposal 3 – Sub Committee Background Information At a recent meeting (5th Feb) community representatives voiced a willingness to be involved in the running of the association and the organising and running of social events. Proposal The proposal is to create a sub committee which comprises of 6 members to assist the committee in exercising the committee’s functions which includes community engagement, to organise and promote the social activities and events of the Association both the younger generation and older generation. I.e. Potato Night, Hadchit Picnic, St Raymond Mass, Hafle and Distribution of Calendars, Apparel. Also engage in fundraising and Church activities. Resolution: Passed Proposal 4 – Official communication to Association Members and Hadchit Community The proposal is to meet with community representatives within the next 7 days, with a formal statement to be issued shortly thereafter. Resolution: Passed Proposal 5 – Date of next AGM The proposal to defer any AGM for 3 months, pending receipt of memberships to allow for sufficient time to consider any submitted membership applications, consideration of those membership applications by the committee, notification of the outcome of the applications, and thereafter service of notification of the AGM. Resolution: Passed | ||
